Sustainability Governance Structure

The company places strong emphasis on conducting its business in accordance with sustainability principles, with a firm commitment to achieving balanced growth under the framework of Environmental, Social, and Governance (ESG) management.

The goal is to create holistic and equitable value for all stakeholders. To ensure the company’s sustainability approach is effective, transparent, and aligned with its long-term growth strategy, a Sustainability Governance Structure has been established, comprising the following key responsible bodies:

1. Board of Directors

The Board of Directors oversees and sets the organization’s strategic direction, with a strong focus on integrating sustainability alongside good corporate governance. By doing do, the Board helps build confidence among shareholders, investors, and all stakeholder group.

2. Nomination, Remuneration, Corporate Governance, and Sustainability Committee (NRGSC)

This committee plays a key role in formulating policies, monitoring, and evaluating the Company’s ESG and sustainability performance. Its supervisory responsibilities include:

2.1 Strategy and Policy Formulation
  • Develop, review, and update the Company’s sustainability strategy, policies, and action plans to align with emerging ESG trends.
  • Promote the integration of sustainability principles across all dimensions of business.
2.2 Monitoring and Evaluation
  • Supervise and monitor the Company’s sustainability performance to ensure achievement of established goals.
  • Prepare ESG performance reports for submission to the Board of Directors to ensure that operations comply with relevant frameworks and standards.

3. ESG and Sustainability Working Committee

This is the core operational unit responsible for driving ESG-related projects and sustainability plans. The committee works in close collaboration with all relevant units within the Company to ensure that sustainability strategies and policies are effectively implemented.

3.1 Operational Oversight
  • Implement ESG and sustainability practices in alignment with corporate policies and frameworks.
  • Develop and refine sustainability management approaches to suit the company’s business context and evolving challenges.
3.2 Reporting and Communication
  • Prepare ESG and sustainability performance reports for submission to the Executive Committee and the Board of Directors.
  • Communicate performance and progress of sustainability initiatives to stakeholders on an ongoing basis.
